We are seeking a high-calibre Fiduciary & Security Trustee Manager to take ownership of a complex portfolio of security trustee mandates, corporate trusts, and structured finance arrangements within an MFSA-regulated environment.
This is a pivotal, control-focused role requiring strong technical judgement, commercial awareness, and the confidence to operate at Board level. You will act as a key gatekeeper—safeguarding fiduciary integrity, overseeing risk exposure, and ensuring the disciplined execution of high-value transactions across the lifecycle of trust and debt structures.
Key Responsibilities
- Lead Board-level reporting on trust portfolios, providing clear insight into covenant compliance, asset coverage, and emerging risk.
- Act as the escalation point for material risks, including default events, credit deterioration, and collateral exposure.
- Oversee ongoing monitoring of mandates, including covenants, reserve accounts, and debt service obligations.
- Manage the onboarding and structuring of security trustee assignments, ensuring legal robustness and operational readiness.
- Exercise strict oversight of capital flows, including disbursement approvals and adherence to governing instruments.
- Control the release of funds and collateral in line with conditions precedent and transaction structures.
- Ensure accurate and timely statutory filings, including MFSA reporting and TUBOR updates.
- Collaborate closely with Compliance, MLRO, and Company Secretarial functions to uphold regulatory and governance standards.
The Profile
- 3–5 years’ experience within a regulated CSP, legal firm, or financial institution, with direct exposure to trusts, security trustee mandates, or structured finance.
- Strong technical grounding in Maltese fiduciary and corporate law, including the Trusts and Trustees Act and Companies Act.
- Solid understanding of security structures (pledges, hypothecs, CP frameworks) and debt instruments.
- Financially literate, with the ability to interpret management accounts and funding structures.
- High attention to detail, combined with strong professional scepticism and risk awareness.
- Confident communicator, capable of engaging with Boards, regulators, and senior stakeholders.
